These Terms of Service ("Agreement") govern your use of the services provided by CreatorConcepts Limited, trading as CreatorConcepts ("we", "us", or "our"). By engaging with our services or using our website, you agree to these Terms of Service. If you do not agree with these terms, you should not use our services.

1. Services Provided

CreatorConcepts Limited is an app development, website design, and branding agency. We also provide startup advice and mentorship. The specific services provided to you will be outlined in the proposal, contract, or agreement between you and CreatorConcepts.

2. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information necessary for the successful execution of services.
• Ensure that all materials you supply for the development of apps, websites, branding, or related services do not violate any third-party rights.
• Cooperate with us in a reasonable manner and provide access to necessary systems or resources.

3. Pricing and Payment

• The fees for our services will be specified in the individual proposals or contracts.
• Payment terms will be outlined in the agreement and invoices. Unless otherwise specified, payment is due upon receipt of the invoice.
• Late payments may incur interest at a rate of 10% per month, or the maximum rate permitted by law, whichever is lower.
• All fees are exclusive of VAT, which will be charged at the prevailing rate.

4. Ownership and Intellectual Property

• You retain ownership of any materials, data, or content provided to us.
• We retain ownership of all intellectual property rights in any software, code, designs, documentation, or other deliverables developed by us for you, until payment is made in full.
• Upon full payment, you will receive a non-exclusive, non-transferable, revocable license to use the deliverables for the purposes specified in the contract. You may not redistribute, resell, or otherwise transfer ownership of the deliverables without our written consent.

5. Confidentiality

We agree to keep all client information confidential and not disclose it to third parties, except as necessary to perform the services or as required by law. You also agree to maintain the confidentiality of any proprietary information we provide to you.

6. Limitation of Liability

• Our liability to you for any claims arising from the provision of services is limited to the total amount paid by you for the services in question.
• We will not be liable for any indirect, special, or consequential damages, loss of profits, or loss of data.
• We do not guarantee that the services provided will be free from errors or interruptions. However, we will make reasonable efforts to provide services to a high standard.

7. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these terms, including but not limited to your failure to provide accurate information or the infringement of third-party rights by the materials you supply to us.

8. Termination

• Either party may terminate the agreement with written notice if the other party breaches a material term of the agreement and fails to remedy the breach within 7 days.
• We may terminate the agreement immediately if you fail to make payments or act in a manner that hinders the completion of services.
• Upon termination, you will pay for all services rendered up to the termination date, and we will deliver any completed work as specified.

9. Force Majeure

We will not be liable for any delay or failure to perform our obligations due to circumstances beyond our control, including but not limited to acts of God, war, terrorism, strikes, or technical failures.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify or update these Terms of Service at any time. Any changes will be posted on our website and will become effective immediately upon posting. It is your responsibility to review these terms periodically.

12. Miscellaneous

• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• These Terms represent the entire agreement between you and us and supersede any prior agreements, representations, or understandings.
